Terms of Service

Last updated: 16 October 2026 · Version 2.1

These Terms govern your access to and use of the website, software products and services supplied by Simpro Software Solutions Private Limited. They are written to apply to every product we offer now and any we release in future. Please read them carefully before using our Services.

1. Introduction and Scope

1.1 About Us

https://simprosoftware.in and the software products offered through it are operated by Simpro Software Solutions Private Limited(“Simpro”, “we”, “us” or “our”), a private limited company incorporated in India on 17 February 2025 under the Companies Act, 2013, bearing CIN U62013TN2025PTC177018 and GSTIN 33ABPCS2910L1Z4, with its registered office at No. 118, Kattur, SIDCO Women Industrial Estate, Thirumullaivoyal, Chennai - 600062, Tamil Nadu, India.

1.2 What These Terms Cover

These Terms apply to:

  • This website and any content, documentation or material made available through it
  • Every software product we supply, whether delivered as a cloud-hosted service, an installed desktop application, a mobile application or an application programming interface
  • Implementation, configuration, data migration, customisation, training and support services
  • IT-enabled services, including KYC record processing, CKYC registration and upload support, data handling, income-tax return preparation and filing support, and audit-preparation services, including services delivered together with a professional partner
  • Any trial, pilot, evaluation or demonstration access we grant

These Terms are deliberately product-neutral. They apply to our current products and to any product or service we introduce later, without needing to be re-issued. Commercial specifics for a particular product — scope, pricing, term and any additional conditions — are set out in the applicable Order Form.

1.3 Order of Precedence

Where documents conflict, the following order applies, from highest to lowest: (a) a signed master agreement between us; (b) the applicable Order Form; (c) product-specific terms; (d) these Terms; (e) any other material on the website.

3. Acceptance of These Terms

3.1 How You Accept

You accept these Terms by doing any of the following: using this website; signing or accepting an Order Form; creating an account or logging in to a Product; making a payment to us; or otherwise using the Services.

3.2 Authority

If you accept these Terms on behalf of an organisation, you confirm that you are at least 18 years of age and duly authorised to bind that organisation. In that case “you” means that organisation.

3.3 If You Do Not Agree

If you do not agree to these Terms, you must not access or use the Services.

4. Accounts and Security

4.1 Account Information

You must provide accurate, current and complete information when creating an account, and keep it up to date. You must not impersonate any person or register using credentials you are not authorised to use.

4.2 Credentials

You are responsible for keeping account credentials confidential and for all activity carried out under your account. Credentials must not be shared between individuals. You must notify us without delay at admin@simprosoftware.in if you suspect unauthorised access.

4.3 Our Security Measures

  • Passwords are stored only as salted cryptographic hashes
  • Sessions expire automatically after a period of inactivity
  • Repeated failed sign-in attempts trigger temporary lockout
  • Access to Customer environments is restricted by role

4.4 Administrator Responsibility

Where the Customer designates administrators, those administrators control User access within the Customer account. The Customer is responsible for promptly revoking access for Users who leave or change role.

5. Licence Grant

5.1 Scope of Licence

Subject to payment of all applicable fees and compliance with these Terms, we grant the Customer a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Product for its internal business purposes during the Subscription Term, for the number of Users, entities, branches or other units recorded in the Order Form.

5.2 Installed Software

Where a Product is supplied as installed software, the licence permits installation on the number of devices or sites stated in the Order Form. Licence keys are issued to the Customer and must not be shared, published or transferred.

5.3 Trials and Evaluations

Trial or evaluation access is provided for assessment only, for the period we specify, and may be withdrawn at any time. Trial access is supplied without warranty and without any service commitment, and data entered during a trial may be deleted when it ends.

5.4 Reservation of Rights

All rights not expressly granted are reserved to us. Nothing in these Terms transfers ownership of any Product to the Customer.

6. Acceptable Use and Prohibited Activities

You must not, and must not permit any User or third party to:

  • Copy, modify, translate, adapt or create derivative works of a Product
  • Reverse engineer, decompile or disassemble a Product, except to the extent applicable law expressly permits
  • Rent, lease, resell, sublicense, distribute or operate a Product as a service bureau for third parties, unless expressly agreed in writing
  • Circumvent or disable licensing, authentication, access control or security features
  • Use automated tools to scrape, harvest or extract data from the Services
  • Introduce malware or any code intended to disrupt, damage or gain unauthorised access to the Services
  • Probe, scan or test the vulnerability of our systems without our prior written consent
  • Use the Services to store or transmit unlawful, infringing, defamatory or obscene material
  • Use the Services for money laundering, tax evasion, fraud, or any other unlawful purpose
  • Exceed the licensed number of Users, entities or other units recorded in the Order Form
  • Remove or obscure any proprietary notice, mark or label

Breach of this Section may result in immediate suspension or termination under Section 17, without refund, and may give rise to legal action.

7. Customer Responsibilities

  • Providing accurate information and keeping it current
  • Ensuring Users comply with these Terms
  • Obtaining all consents and authorisations required for the data it places in a Product
  • Maintaining the hardware, operating systems, network connectivity and third-party software needed to run the Product
  • Maintaining its own backups where a Product is installed on Customer-controlled infrastructure
  • Verifying the accuracy of any report, statement, return or filing generated using a Product before relying on it or submitting it to any authority
  • Paying all fees when due

Our Products assist with financial, accounting, regulatory and educational workflows. They are tools, not a substitute for professional judgement. Except to the extent an Order Form expressly engages us to prepare a return, process records or prepare for an audit — and then only for that work — we do not provide accounting, audit, legal, taxation or investment advice, and the Customer remains solely responsible for its own statutory and regulatory compliance.

8. Customer Data

8.1 Ownership

As between the parties, the Customer owns all Customer Data. We claim no ownership over it.

8.2 Our Use of Customer Data

We process Customer Data only to provide, secure, support and improve the Services, and only on the documented instructions of the Customer. We do not sell Customer Data, and we do not use it to train models for the benefit of other customers unless it has been irreversibly aggregated and anonymised so that no individual or organisation can be identified.

8.3 Data Protection

Where we process personal data contained in Customer Data, we act as a Data Processor and the Customer acts as Data Fiduciary, as described in our Privacy Policy.

8.4 Export and Deletion

During the Subscription Term the Customer may export its data using the facilities provided in the Product. On termination we will, at the request of the Customer made within 30 days, make a copy of Customer Data available for export in a commonly readable format. After that period we may delete Customer Data, subject to any retention required by law.

9. Fees, Invoicing and Taxes

9.1 Fees

Fees are those set out in the applicable Order Form. Unless stated otherwise, fees are quoted in Indian Rupees and are exclusive of taxes.

9.2 Taxes

Goods and Services Tax and any other applicable levy is charged in addition at the prevailing rate, and is shown separately on the invoice. Where the Customer is required to deduct tax at source, it must provide the relevant certificate within the statutory period.

9.3 Invoicing and Due Date

Unless the Order Form says otherwise, subscription fees are invoiced in advance for the Subscription Term and are payable within 15 days of the invoice date. Professional services may be invoiced on completion of agreed milestones.

9.4 Late Payment

We may suspend access to a Product where an undisputed invoice remains unpaid for more than 30 days after its due date, having first given at least 7 days written notice. Suspension does not relieve the Customer of its obligation to pay.

9.5 Renewal and Price Changes

Subscriptions renew for successive terms of equal length unless either party gives written notice of non-renewal at least 30 days before the end of the current term. We will give at least 30 days notice of any change to renewal pricing.

10. Payment Terms

10.1 Payment Methods

We accept payment by the methods made available at the time of purchase, which may include credit and debit cards, UPI, net banking, digital wallets, and bank transfer by NEFT, RTGS or IMPS. Cheque or demand draft may be accepted by prior arrangement.

10.2 Payment Gateway

Online payments are processed by a third-party Payment Gateway on PCI DSS compliant infrastructure. Card numbers, CVV codes, UPI PINs and net-banking credentials are entered directly with the Payment Gateway and are never received or stored by us. Use of the Payment Gateway is subject to its own terms and privacy policy.

We may change or add Payment Gateway providers from time to time without amending these Terms.

10.3 Confirmation

A payment is confirmed only when we receive successful authorisation from the Payment Gateway or cleared funds in our bank account. We issue a receipt and a GST invoice by email on confirmation.

10.4 Failed and Duplicate Payments

Where a payment fails, no service is provisioned and no charge should be raised. If an amount is debited without a corresponding confirmation, it is normally reversed by the bank or Payment Gateway within 5 to 7 business days. Duplicate payments are refunded in full once verified. Report any such case to admin@simprosoftware.in with the transaction reference.

10.5 Chargebacks

Please contact us before initiating a chargeback so we can resolve the matter directly. Where a chargeback is raised, we may suspend the affected account until it is resolved, and we may supply the Payment Gateway and the acquiring bank with transaction records, access logs and correspondence as evidence.

11. Cancellation, Refunds and Service Delivery

Cancellation rights, refund eligibility, deductions and processing timelines are set out in full in our Refund and Cancellation Policy.

How and when each Product is delivered or provisioned after payment is set out in our Service Delivery Policy.

Both policies form part of these Terms and are incorporated by reference.

12. Support and Availability

12.1 Support

We provide support by email at admin@simprosoftware.in and by telephone on +91 93456 61977, during business hours, Monday to Saturday, excluding public holidays in Tamil Nadu. The support level, response targets and any extended coverage applicable to a Customer are those recorded in the Order Form.

12.2 Availability

We aim to keep cloud-hosted Products available at all times, but we do not warrant uninterrupted or error-free operation unless a service level is expressly agreed in the Order Form.

12.3 Maintenance

We may carry out scheduled maintenance, and will give reasonable advance notice and, where practicable, schedule it outside business hours. Emergency maintenance may be carried out without notice where necessary to preserve security or integrity.

12.4 Updates

We may update, improve or modify a Product from time to time. We will not materially reduce the core functionality of a Product during a paid Subscription Term without the consent of the Customer.

13. Intellectual Property

13.1 Our Rights

All intellectual property rights in the Products, the website, source code, database structures, user interfaces, designs, Documentation, trade marks, logos and brand names are and remain our exclusive property or that of our licensors.

13.2 Restrictions

You may not use our name, logo or trade marks without our prior written consent, except to identify us factually as your supplier.

13.3 Feedback

If you give us suggestions or feedback about the Services, we may use it without restriction or obligation. Feedback is given voluntarily and is not confidential.

14. Confidentiality

Each party may receive information of the other that is marked confidential or would reasonably be understood to be confidential. Each party will protect the other confidential information with at least the care it applies to its own, use it only for the purposes of these Terms, and disclose it only to personnel and advisers who need it and are bound by equivalent obligations.

These obligations do not apply to information that is or becomes public without breach, was already lawfully known, is independently developed, or must be disclosed by law — in which case the disclosing party will, where lawful, be given notice. Confidentiality obligations survive for 3 years after termination, and indefinitely for personal data and source code.

15. Third-Party Services

The Services rely on third-party providers, including cloud infrastructure, the Payment Gateway, and communication services for email and SMS delivery. Those services are governed by their own terms and privacy policies. We select providers with reasonable care but are not responsible for their availability, performance or acts, except to the extent they act as our sub-processors in respect of personal data.

Some Services are delivered together with a professional partner, such as a firm of chartered accountants that reviews a tax return or conducts an audit. Where it does, the partner is engaged by the Customer under the partner's own terms of engagement, and is solely responsible for its professional work, opinion, report and certification. We are responsible for the preparation, data and processing work we perform.

The website may link to external sites. We do not control or endorse their content, and visiting them is at your own risk.

16. Warranties, Disclaimers and Liability

16.1 Our Warranty

We warrant that the Services will be performed with reasonable skill and care, and that a Product will operate materially in accordance with its Documentation during the Subscription Term. If it does not, we will use reasonable efforts to correct the defect at no charge. This is your primary remedy for defects.

16.2 Disclaimer

Except as expressly stated in these Terms, and to the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, and all other warranties, whether express or implied, including those of merchantability, fitness for a particular purpose and non-infringement, are excluded.

We do not warrant that:

  • The Services will be uninterrupted, timely or error-free
  • Every defect will be corrected
  • Output will meet a regulatory requirement without the Customer own verification
  • The Services are compatible with every device, browser or third-party system

16.3 Exclusion of Indirect Loss

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, goodwill, business opportunity or anticipated saving, however arising.

16.4 Liability Cap

Our total aggregate liability arising out of or in connection with the Services, whether in contract, tort, breach of statutory duty or otherwise, is limited to the total fees actually paid by the Customer to us in the 12 months immediately preceding the event giving rise to the claim.

16.5 Liability Not Excluded

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Nothing in these Terms affects the statutory rights of a consumer under the Consumer Protection Act, 2019.

16.6 Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, strike, failure of telecommunications or power, act of government, or failure of a third-party infrastructure provider.

17. Indemnity

You agree to indemnify and hold us harmless against claims, damages, losses, liabilities and reasonable costs arising from your breach of these Terms, your violation of any law or third-party right, the content or legality of Customer Data, or any unauthorised use of the Services under your account.

We will indemnify the Customer against any third-party claim that a Product, used in accordance with these Terms, infringes intellectual property rights in India — provided the Customer notifies us promptly, allows us to control the defence, and cooperates reasonably. This does not apply to claims arising from modification of a Product by anyone other than us, or from its combination with anything we did not supply.

18. Term, Suspension and Termination

18.1 Term

These Terms apply from your first use of the Services and continue until all Subscription Terms have expired or been terminated.

18.2 Termination by the Customer

The Customer may terminate as set out in the Refund and Cancellation Policy or in the Order Form.

18.3 Termination or Suspension by Us

We may suspend or terminate access where:

  • There is a material breach of these Terms that is not remedied within 15 days of written notice
  • An undisputed invoice remains unpaid beyond the period in Section 9.4
  • Continued access presents a security risk to us, to other customers, or to the Customer own data
  • We are required to do so by law or by a competent authority
  • The Customer becomes insolvent, enters liquidation, or ceases to carry on business

Except where a breach is severe or a legal obligation requires immediate action, we will give notice and a reasonable opportunity to remedy before suspending.

18.4 Effect of Termination

  • The licence granted under Section 5 ends immediately
  • All fees accrued up to the date of termination fall due
  • Any refund is handled under the Refund and Cancellation Policy
  • Customer Data may be exported within 30 days, after which we may delete it
  • Sections on intellectual property, confidentiality, liability, indemnity and dispute resolution survive

19. Notices and Communications

19.1 Electronic Communications

You consent to receive communications from us electronically. Notices sent by email to the address on your account are treated as received on the next business day after sending.

19.2 Communications You Cannot Opt Out Of

Security alerts, one-time passwords, invoices and receipts, renewal and expiry notices, and notices of changes to these Terms are necessary to the Services and cannot be declined while an account remains active. Marketing communications can be declined at any time.

19.3 Formal Notices to Us

Legal notices must be sent in writing to the registered office set out in Section 1.1, with a copy by email to admin@simprosoftware.in.

23.1 Severability

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if that is not possible. The remaining provisions continue in full force.

23.2 Waiver

A failure or delay in enforcing any right is not a waiver of it, and no single or partial exercise prevents further exercise.

23.3 Assignment

You may not assign or transfer your rights without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.

23.4 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties.
